Business Contract Information
1. Purpose and regulatory use
1.1 This document is a Talk4 template for the detailed pre-contract information that must be completed with the actual Order data before a business customer is bound, where applicable. It should not be issued with unresolved commercial placeholders.
1.2 A business with 10 employees or fewer must receive the applicable written Contract Information before it is bound and a one-page Contract Summary before it gives consent, subject to the precise scope of the current Ofcom General Conditions and unless it has expressly agreed otherwise where Ofcom permits such an informed waiver. Equivalent protections may apply to certain not-for-profit customers. General acceptance of Talk4 terms must not be used as an automatic waiver.
1.3 SME Customers with fewer than 250 employees must also receive the standard-contract service level/service guarantee information required by Ofcom where applicable. Talk4 may use this template for larger businesses as good practice.
1.4 The completed Contract Information, Contract Summary (where required), Order and applicable product Terms/SLA should be stored against the customer/order so the exact contractual version can be retrieved later.

5.1 Talk4 fixed-price commitment: if the Contract has a 12-month or 24-month Minimum Term, the core recurring monthly subscription Charge will not increase during that Minimum Term. Scheduled annual, CPI/RPI, inflation-linked and percentage-based increases to that core subscription Charge are not applied during those 12/24 months.
5.2 Record separately any optional, usage-based, engineering, excess-construction, international/roaming, licence/seat or other variable Charges that can arise and the basis on which they are calculated.

6.1 A Protected Small Business Customer must not be placed into a further commitment period at the end of a commitment period without the consent required by Ofcom. A regulated phone/broadband commitment for such a customer must not exceed the applicable Ofcom maximum.

8. Usage restrictions and traffic management

9. Switching, number porting and continuity

10. Contract changes
10.1 Talk4 will give the notice and penalty-free termination right required by Ofcom for a change that is not to the Customer’s benefit. This does not override Talk4’s no-annual-price-increase commitment for the core subscription Charge on 12/24-month Contracts.
